Compliance & regulatory advice

In addition to providing our clients with audit and accounting related services, we are often asked to provide compliance and regulatory advice.

We help firms interpret and comply with the rules and regulations in order for them to continue to operate in their chosen sectors.

This could be as simple as providing guidance on changing an accounting reference date in accordance with the Companies Act, or be more complicated and involve interpreting the Financial Service Authority's (FSA) rules to determine the required levels of capital within a business.

The areas where we commonly find ourselves providing these services would include:

Companies Act

There are many sections of the Companies Act where we are in a position to provide guidance and/or assistance with interpretation. These include:

  • company formation and other company secretarial matters such as the necessary Companies House filings
  • accounting matters such as statutory disclosures, deadlines and exemptions, in addition to assistance with the preparation of the 'Business Review'
  • matters affecting share capital and distributions, including 'whitewash procedures' where financial assistance for the purchase of own shares is required

Compliance and regulatory advice to the RSL sector

We advise our registered social landlord clients, which range from the large national and complex groups, to small local associations, on compliance and regulatory issues such as:

  • ensuring accounting policies adopted within our clients' financial statements are compliant with the latest SORP and Determination
  • assisting our clients to produce service charge statements in line with best practice
  • adopting internal control documentation to ensure it is compliant with the new requirements in Circular 07/07
  • reporting to the Housing Corporation on PPA compliance

We have an RSL industry group that ensures that we and our clients are kept up to date on appropriate regulatory matters affecting RSLs.

Compliance and regulatory advice for FSA regulated clients

We advise our FSA regulated clients, which include brokers, investment managers, private equity and corporate finance firms, on understanding and interpreting the detailed rules set out in the FSA hand book. These include:

  • assisting firms with their application to be regulated by the FSA, including project management of the process, reviewing the financial projections and adequacy of complex IT systems and advising on corporate structures
  • preparing for regulatory changes such as the Capital Requirements Directive (CRD) and preparation of firm’s ICAAP
  • completion of periodic regulatory reporting to the FSA  
  • assisting with the resolution of regulatory breaches and FSA enforcement orders
  • skilled person reports

Our Financial Services & Markets Group coordinates our services to FSA regulated firms through a series of newsletters and seminars and ensure that our clients are kept up to date on regulatory matters affecting their business.
