Smith & Williamson advises on MBO of Sens-Tech Sensor Technologies

Sens-Tech is a world leader which, over five decades, has pioneered the development and manufacture of high sensitivity solutions for the detection of light and X-rays.  Sens-Tech’s products are key elements of detection and measurement systems across a myriad of fields across the globe, including security scanning, medical analysis, life sciences instrumentation, food standards testing and industrial specification, particularly of steel and timber.

In 1994, the business was spun out of Thorn-EMI as Electron Tubes.  In 2007, it was renamed Sens-Tech to reflect the evolution of the business from a component supplier into a focussed supplier of sensor systems, offering state-of-the-art sensor technologies.

Having overseen Sens-Tech’s move into specifically refurbished new premises in Langley in 2009, Stephen Jaye has now completed a management buyout of the company, backed by private equity investment and debt facilities provided by the Royal Bank of Scotland.

Andy Pedrette, corporate finance director at Smith & Williamson commented: “It was a pleasure to advise Stephen Jaye on the management buy-out.  Sens-Tech shows that quality UK companies with strong management can still attract funding and prosper globally.”

Stephen Jaye, said: “Having managed the development of Sens-Tech since 1994, I wanted to own the business.  I know Sens-Tech and our industry inside out, but an MBO was a whole new experience for me.  Andy Pedrette and Brian Livingston at Smith & Williamson expertly guided me through the MBO process - from initial concept to negotiating acquisition terms, from finding acquisition funding to completion of the deal.  I am delighted with the result.”
