Country Food & Dining 3 Limited

Country Food & Dining 3 Limited (“The Company") is seeking up to £1.95 million to acquire an existing, single operating unit such as a farm shop or garden centre in an affluent rural area within two to three hours of London. The concept is already being successfully applied to Cobbs Farm Shop & Kitchen near Hungerford, Springleaze Farm Shop near Bath and the recently acquired Green Fields Farm Shop near Telford.

The management team will be headed by David Bruce, previously Chief Executive of the Capital Pub Company PLC, who has been involved in the international brewing and leisure industry for 40 years and was responsible for developing the Slug and Lettuce brand in the 1990s.

The proposed term of investment is likely to be between three and a half and five years and the exit is likely to be by way of a trade sale.  It is anticipated that the Company is likely to be sold to the same buyer as the other Country Food & Dining companies, thus creating a "lotting premium" on exit.

We hope to be able to issue tax certificates to enable investors to obtain tax relief before the end of 2009. EIS relief at up to 20% should be available on funds invested of up to £500,000, and investors can now carry back up to £500,000 of their investment to the previous tax year.  The minimum investment is £10,000 and the offer has been extended until the earlier of full subscription or Friday 31 July.
